Unless otherwise agreed upon in writing, these Terms and Conditions (“Terms”) apply to all sales and services provided by Century Graphics and Sign, Inc. (“Century,” “we,” “our,” or “us”) to any buyer (“Customer,” “you,” or “your”). By placing an order, you agree to these Terms in full.
1. Acceptance of Orders
Quotes and estimates provided by Century do not constitute a binding offer. A contract is formed only when your order is received and accepted by us, and you receive written confirmation of acceptance.
We reserve the right to refuse or cancel any order for any reason, including limitations on materials, design concerns, or nonpayment history.
2. Pricing and Delivery
Unless otherwise stated in writing, all prices are F.O.B. shipping point (Midland, Texas), and do not include sales tax, shipping, or handling fees.
Applicable taxes, freight, and other charges will be added to your invoice and are your responsibility unless exempt documentation is provided.
Delivery timelines are estimates only. While we make every effort to meet delivery expectations, Century shall not be held liable for delays caused by carriers, material shortages, or other circumstances beyond our control.
3. Payment Terms
Payment is due according to the terms listed on your invoice. Unless otherwise agreed upon, payment is due in full at the time of order.
Accounts with approved credit terms must remit payment within the agreed-upon period.
Century retains title to all goods until payment is received in full. In the event of default, we may suspend future orders or require prepayment.
4. Inspection and Returns
All goods must be inspected upon receipt.
Any claims for errors or defects must be submitted within five (5) business days of delivery.
Custom products, including but not limited to signs, printed apparel, and promotional items, are made to order and cannot be returned unless there is a verified production error on our part.
Stock (non-custom) items may be returned within 30 days of receipt with prior authorization and are subject to a 15% restocking fee. Unauthorized returns will not be accepted.
5. Limited Warranty
Century warrants that products will be free from material and workmanship defects at the time of delivery.
This warranty does not cover normal wear and tear, misuse, improper storage, or unauthorized modification.
Our responsibility under this warranty is limited solely to repair, replacement, or credit, at our discretion.
No other warranties, expressed or implied (including merchantability or fitness for a particular purpose), are made or implied.
6. Limitation of Liability
Century Graphics and Sign is not liable for any indirect, special, or consequential damages, including loss of profit, business interruption, or loss of data, arising out of the sale or use of our products.
Our total liability for any claim shall not exceed the purchase price of the product in question.
7. Intellectual Property
All designs, artwork, logos, and creative assets produced by Century remain the property of Century unless otherwise agreed in writing.
If you supply artwork, you warrant that you have full rights to use and reproduce it. You agree to indemnify and hold Century harmless against any claims of infringement related to your provided materials.
8. Force Majeure
Century is not liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, labor disputes, equipment failure, supply chain issues, carrier delays, or governmental actions.
9. Governing Law
These Terms and all transactions with Century Graphics and Sign are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Any disputes shall be resolved in Midland County, Texas.
10. Privacy and Data Use
By placing an order or interacting with our website, you agree to our Privacy Policy, which explains how we collect, use, and protect your information.

11. Promotions
Any promotional offers, discounts, or free-shipping campaigns are subject to the terms stated within each promotion.
By redeeming an offer, you confirm that acceptance of such benefits does not violate your company policy or applicable laws.

Century may update or modify these Terms at any time without prior notice. Updates take effect immediately upon posting to our website.
